Acceptance and incorporated policies
These Terms & Conditions govern access to transductionlabs.co and purchases from TransductionLabs. By using the site, creating an account, or placing an order, you agree to these Terms and the policies linked here, including the Privacy Policy, Waiver Agreement, and Shipping & Returns Policy. If you act for an organization, you represent that you have authority to bind it.

Eligibility and qualified procurement
You must be at least 21 years old, legally capable of contracting, and permitted to purchase the materials in your jurisdiction. We may request identity, institutional, intended-use, payment, or shipping information; refuse or cancel an order; limit quantities; or suspend an account when reasonably necessary for compliance, safety, fraud prevention, inventory control, or violation of these Terms.

Research-use restrictions
Products labeled for research use are offered only for lawful laboratory research, in vitro evaluation, analytical work, or education. They are not intended for human or veterinary administration, diagnosis, treatment, cure, mitigation, disease prevention, food use, cosmetic use, or household use. You may not market, relabel, transfer, or resell a product for a prohibited purpose or in a misleading way.

Product information and lot documentation
We work to present accurate descriptions, specifications, images, availability, and lot-linked documents. Product photography may be representative, and packaging or presentation may change without altering the stated material. A certificate or analytical result applies to the identified sample, lot, method, and reported limitations; it is not a guarantee of suitability for every protocol. You are responsible for reviewing documentation and independently determining fitness for your intended research before procurement and use.

Orders, pricing, and payment
An order is an offer to purchase and is not accepted until we confirm or fulfill it. Prices, availability, promotions, and product configurations may change before acceptance. You authorize the applicable charges, taxes, shipping fees, and adjustments shown at checkout. You must provide accurate account, billing, and delivery information. We may correct an obvious error, reject a payment, limit coupon use, or cancel and refund an affected order.

Shipping, inspection, and discrepancies
Processing estimates and carrier transit times are not guaranteed unless expressly stated. Current shipping regions, charges, delivery commitments, inspection steps, and remedies appear in the Shipping & Returns Policy. Inspect a shipment promptly. Claims must include the order and lot numbers plus the photographs or documentation requested by the policy. Do not discard affected material or packaging until the review is complete.

Accounts and site security
You are responsible for maintaining accurate account information and protecting credentials. Notify us promptly of suspected unauthorized access. You must not probe or bypass security, interfere with the site, upload malicious code, automate abusive requests, scrape protected content, impersonate another person, or use the service to violate law or third-party rights.

Intellectual property and submissions
The site design, brand elements, original text, graphics, documents, and software are owned by or licensed to TransductionLabs and may not be copied, republished, sold, or exploited without written permission, except for ordinary internal procurement and research-record purposes. You retain rights in material you submit but grant us permission to use it as reasonably necessary to provide support, process a transaction, protect the service, and resolve a claim.

Third-party services and links
Payments, carriers, hosting, analytics, and other functions may be supplied by third parties. Their services may be governed by separate terms and privacy practices. Links to an external site are provided for convenience and do not make TransductionLabs responsible for that site’s availability, content, security, or conduct.

Service and warranty disclaimer
Except for an express written commitment on the site or an applicable non-waivable right, the site, content, and products are provided on an “as available” and “as is” basis. To the maximum extent permitted by law, TransductionLabs disclaims implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing. We do not promise uninterrupted site access or that a material is suitable for a protocol you have not independently qualified.

Limitation of liability
To the maximum extent permitted by law, TransductionLabs and its officers, employees, agents, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of data, revenue, opportunity, or research time; or costs resulting from misuse, prohibited use, improper storage, protocol design, or reliance beyond the stated scope of documentation. Any aggregate liability will not exceed the amount paid for the product or service giving rise to the claim, except where applicable law requires otherwise.

Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless TransductionLabs and its officers, employees, agents, contractors, affiliates, and suppliers from third-party claims and reasonable costs arising from your unlawful conduct, prohibited or unauthorized product use, breach of these Terms, misrepresentation, negligence, or infringement of another person’s rights.

Suspension, severability, and waiver
We may suspend or terminate access for suspected fraud, security risk, prohibited activity, or material breach. Provisions that by their nature should survive will remain effective. If a term is unenforceable, it will be narrowed or severed to the minimum extent necessary without invalidating the remainder. A delay in enforcement is not a waiver of a right.

Applicable law and disputes
These Terms are governed by applicable United States law and the law that applies to the entity operating TransductionLabs and the transaction, without overriding any mandatory protection that cannot lawfully be waived. Before filing a formal claim, each party agrees to send written notice describing the dispute and allow a reasonable opportunity for good-faith resolution.

Changes and contact
We may revise these Terms when the storefront, services, policies, or legal requirements change. The version posted when an order is accepted governs that order unless law requires otherwise. Questions may be sent to transductionlabs@gmail.com.
