Agreement and consideration
In consideration of being permitted to purchase research peptides, compounds, reference materials, or related laboratory supplies from TransductionLabs, the purchaser agrees to this Waiver Agreement. “Purchaser” includes the person placing the order and, when that person acts for an organization, the represented organization to the extent the person is authorized to bind it.

Research-only status
TransductionLabs products identified as research-use materials are offered solely for legitimate laboratory research, in vitro evaluation, analytical work, or educational use permitted by law. They are not drugs, foods, cosmetics, or clinical products; are not approved, cleared, or intended for human or veterinary administration; and must not be used for diagnosis, treatment, cure, mitigation, or prevention of disease.

Purchaser representations
By purchasing or accepting possession of a product, the purchaser represents and warrants that they:
- are at least 21 years old and have legal capacity to enter this agreement;
- are qualified, trained, or acting under appropriate supervision for the planned laboratory work;
- will use, store, document, transport, and dispose of materials only in a lawful research setting;
- will not administer a product to a person or animal, use it as a household product, or resell it for a prohibited purpose; and
- will independently determine whether the material, method, specifications, and documentation are suitable for the intended protocol.

Scientific uncertainty and responsibility
Research materials can present known and unknown hazards. Analytical results describe the tested sample, method, acceptance criteria, and stated limitations; they do not eliminate the purchaser’s duty to perform appropriate qualification, controls, risk assessment, and validation. The purchaser accepts responsibility for personnel, facilities, equipment, protocols, storage conditions, records, and regulatory requirements associated with the permitted research activity.

Release and assumption of risk
To the maximum extent permitted by law, the purchaser knowingly assumes risks arising from possession, handling, storage, disposal, transfer, or permitted research use of the materials and releases TransductionLabs and its officers, directors, employees, agents, contractors, affiliates, and suppliers from claims arising from the purchaser’s misuse, unauthorized use, protocol design, handling failures, legal noncompliance, or use inconsistent with product labeling and documentation.

Indemnity and defense
To the maximum extent permitted by law, the purchaser will defend, indemnify, and hold harmless TransductionLabs and its officers, directors, employees, agents, contractors, affiliates, and suppliers from third-party claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from the purchaser’s breach of this agreement, unlawful conduct, prohibited use, negligence, misrepresentation, or violation of another person’s rights.

Discrepancy reporting
Suspected identity, quantity, condition, lot-linkage, or documentation discrepancies must be reported promptly to transductionlabs@gmail.com. Include the order number, lot number, clear photographs, relevant documents, and a concise description. Preserve the product, packaging, and chain-of-custody information while the report is reviewed.

Limits required by law
Nothing in this agreement excludes responsibility that cannot lawfully be excluded, limits a non-waivable statutory right, or excuses fraud, willful misconduct, or another category of liability that applicable law does not permit a party to waive. Any limitation applies only to the maximum extent allowed in the relevant jurisdiction.

Severability and survival
If a provision is found invalid or unenforceable, it will be narrowed or severed to the minimum extent necessary and the remaining provisions will continue in effect. Obligations relating to responsibility, release, indemnity, records, and dispute resolution survive completion or cancellation of an order.

Acknowledgment
By submitting an order, accepting delivery, or retaining possession of covered materials, the purchaser confirms that they have read, understood, and voluntarily accepted this Waiver Agreement. Electronic acceptance and transaction records may be used as evidence of agreement to the extent permitted by law.
Qualified procurement carries responsibility from order review through final disposition.
